Subject to these Terms of Service (this "Agreement"), SSTV ("SSTV", "we", "us" and/or "our") provides access to SSTV's Services. "Services" means, collectively, any products or services made available by SSTV or its affiliates; provided that, your use of certain Services requires acceptance of additional terms as set forth in Schedule I hereto; and provided further, that, for the avoidance of doubt, any software that we provide exclusively under open source licenses are not covered by this Agreement.
By using or accessing the Services, you acknowledge that you have read, understand, and agree to be bound by this Agreement.
The Services are not intended for use by persons under the age of 13. If you are under 13 years of age, please do not use or access the Services at any time or in any manner.
If you are entering into this Agreement on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the term "you" shall refer to such entity. If you do not have such authority, or if you do not agree with this Agreement, you must not accept this Agreement and may not use the Services.
Subject to the terms and conditions of this Agreement, SSTV grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for your personal or internal business purposes.
You shall not license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Services in any way.
You retain all rights in, and are solely responsible for, the content you post, upload, email, transmit, or otherwise make available via the Services ("Your Content"). You grant SSTV a worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Content solely for the purpose of providing the Services to you.
You represent and warrant that: (i) you own Your Content or have the right to use it and grant us the rights and license as provided in these Terms, and (ii) Your Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person.
Some of our Services require payment of fees. If you subscribe to a paid plan, you agree to pay the applicable fees as they become due. Unless otherwise stated, all fees are quoted in U.S. Dollars.
You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the paid features until the end of your current billing period, but you will not receive a refund for any fees already paid.
You agree not to use the Services to:
You agree to use the Services in a manner consistent with any and all applicable laws and regulations. You agree not to engage in any activity that interferes with or disrupts the Services or the servers and networks that host the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify SSTV of any unauthorized use of your account or any other breach of security.
SSTV implements reasonable security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you provide your personal information at your own risk.
This Agreement constitutes the entire agreement between you and SSTV regarding the Services and supersedes all prior agreements and understandings, whether written or oral.
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
SSTV may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign this Agreement without SSTV's prior written consent.
SSTV maintains compliance with the Payment Card Industry Data Security Standard (PCI DSS) for the protection of cardholder data. We implement appropriate security measures to protect payment information and comply with applicable payment processing regulations.
If you are a covered entity or business associate under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and use our Services to process Protected Health Information (PHI), you must enter into a separate Business Associate Agreement with SSTV.
SSTV processes personal data in accordance with our Privacy Policy. By using the Services, you consent to such processing and you represent that all personal data you provide to us is accurate and complete.
Your information may be transferred to — and maintained on — computers located outside of your state, province, country or other governmental jurisdiction where the data protection laws may differ from those in your jurisdiction. If you are located outside the United States and choose to provide information to us, please note that we transfer the information to the United States and process it there.
IMPORTANT: PLEASE REVIEW THE MUTUAL ARBITRATION CLAUSE SET FORTH BELOW CAREFULLY, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH SSTV THROUGH FINAL AND BINDING ARBITRATION.
BY ENTERING THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS MUTUAL ARBITRATION CLAUSE.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SSTV EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL SSTV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
You agree to defend, indemnify and hold harmless SSTV and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect.
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
SSTV may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign this Agreement without SSTV's prior written consent.
